So, I just saw this news and I thought it was fairly significant given what we all do around here.

Continuing its strategy of delivering exceptional creative content to audiences around the world, The Walt Disney Company (NYSE: DIS) has agreed to acquire Lucasfilm Ltd. in a stock and cash transaction. Lucasfilm is 100% owned by Lucasfilm Chairman and Founder, George Lucas.

Under the terms of the agreement and based on the closing price of Disney stock on October 26, 2012, the transaction value is $4.05 billion, with Disney paying approximately half of the consideration in cash and issuing approximately 40 million shares at closing. The final consideration will be subject to customary post-closing balance sheet adjustments.

Iger, Chairman and Chief Executive Officer of The Walt Disney Company. “This transaction combines a world-class portfolio of content including Star Wars, one of the greatest family entertainment franchises of all time, with Disney’s unique and unparalleled creativity across multiple platforms, businesses, and markets to generate sustained growth and drive significant long-term value.”

“For the past 35 years, one of my greatest pleasures has been to see Star Wars passed from one generation to the next,” said George Lucas, Chairman and Chief Executive Officer of Lucasfilm. “It’s now time for me to pass Star Wars on to a new generation of filmmakers. I’ve always believed that Star Wars could live beyond me, and I thought it was important to set up the transition during my lifetime. I’m confident that with Lucasfilm under the leadership of Kathleen Kennedy, and having a new home within the Disney organization, Star Wars will certainly live on and flourish for many generations to come. Disney’s reach and experience give Lucasfilm the opportunity to blaze new trails in film, television, interactive media, theme parks, live entertainment, and consumer products.”

Under the deal, Disney will acquire ownership of Lucasfilm, a leader in entertainment, innovation and technology, including its massively popular and “evergreen” Star Wars franchise and its operating businesses in live action film production, consumer products, animation, visual effects, and audio post production. Disney will also acquire the substantial portfolio of cutting-edge entertainment technologies that have kept audiences enthralled for many years. Lucasfilm, headquartered in San Francisco, operates under the names Lucasfilm Ltd., LucasArts, Industrial Light & Magic, and Skywalker Sound, and the present intent is for Lucasfilm employees to remain in their current locations.

Kathleen Kennedy, current Co-Chairman of Lucasfilm, will become President of Lucasfilm, reporting to Walt Disney Studios Chairman Alan Horn. Additionally she will serve as the brand manager for Star Wars, working directly with Disney’s global lines of business to build, further integrate, and maximize the value of this global franchise. Ms. Kennedy will serve as executive producer on new Star Wars feature films, with George Lucas serving as creative consultant. Star Wars Episode 7 is targeted for release in 2015, with more feature films expected to continue the Star Wars saga and grow the franchise well into the future.

The acquisition combines two highly compatible family entertainment brands, and strengthens the long-standing beneficial relationship between them that already includes successful integration of Star Wars content into Disney theme parks in Anaheim, Orlando, Paris and Tokyo.

The Boards of Directors of Disney and Lucasfilm have approved the transaction, which is subject to clearance under the Hart-Scott-Rodino Antitrust Improvements Act, certain non-United States merger control regulations, and other customary closing conditions. The agreement has been approved by the sole shareholder of Lucasfilm.

UGH! I remember what happened when Disney owned the Power Rangers. I don't want to see that kind of remastering and digitizing to happen to Star Wars.

This is something we've discussed many times before in our many discussions about the future of Star Wars. Lucas would want to start planning for the survival of his business and succession of its top leadership. His best option for his heirs would probably be sale to a major studio. I've said before that the only company that does licensing and merchandising as well as or better than Lucas is Disney. They are well-equipped to keep the Star Wars licensing stream going. It's an obvious choice. Also, they have Star Tours. Integrating Star Wars and the theme parks even more is a potential gold mine.

At least it's Disney and they didn't screw up Avengers. I can only hope they don't destroy my childhood anymore like the rest of Hollywood....

 

As long as Star Wars Episode 7 does not mean movies of a quality like the Ewok films, I'm okay with this. Almost intrigued, really. Disney is smart enough to know what works and what doesn't, and I believe they will retain what works the most for SW. Disney acquiring Marvel is the best example of this. Everyone went crazy thinking they would Disney-fy the Marvel universe; instead, we got one of the best superhero films ever in The Avengers, with a guarantee that the Marvel film franchise will continue for a long time at the same quality rate. Disney has also done excellent work with the Muppets, with re-releasing the classic films on DVD and Blu-Ray and fully selling their latest movie last year. There's also a Muppet sequel in the works for the future. And lord knows the Muppets and Marvel have two of the most hardcore fanbases out there. So yeah...I say give Disney a chance. It can't be worse than some of the stuff Lucasfilm has come up with.

 

Financially this is a win-win for both sides of the transaction and as Jabbadabado wrote, it was the obvious choice. But good Moses, $4.05 billion? Sole shareholder being Lucas...wow, what a payday.

 

For the most part, Disney has been incredibly hands-off in terms of dealing with Marvel.

I honestly am speechless and don't know what to say right now. SO many questions.

We knew Lucas was done with filmmaking. Thank God he finally decided to pull the trigger and let someone else take over. Disney has had a very long and fruitful partnership with Lucas in the parks.

I have to say, though, I'm completely shocked about the Episode VII thing. Fans have joked about it for so long without any expectation that it would actually happen. I got to assume they will set it fairly far in the future. And maybe they'll draw on some of the EU, but hopefully it's more nods than being beholden to it.

But dude, how long do you think it'll take before J.J. Abrams calls Disney begging to direct?
